Terms of Service

LiffeyAI is the trading name of Fractional Edge Ltd, a company registered in Ireland (company registration number 782670), with registered address at Ground Floor, 71 Baggot Street Lower, Dublin 2, D02 P593. References to "LiffeyAI", "we", "us", or "our" in these terms refer to Fractional Edge Ltd. References to "you" or "your" refer to the business or individual accessing the platform.

LiffeyAI is a commercial intelligence platform. It helps business teams organise, query, and develop their commercial strategy by connecting to knowledge sources such as documents, CRM systems, meeting transcripts, and websites, and making that knowledge accessible through an AI assistant.

The platform is invite-only and intended for use by businesses (B2B). It is not directed at consumers or individuals acting in a personal capacity.

Access to LiffeyAI is granted by invitation only. A workspace owner must invite you before you can sign in. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

You must not share your sign-in credentials, allow others to use your account, or attempt to access any workspace you have not been invited to. We reserve the right to suspend or terminate accounts that breach these terms.

You agree not to use LiffeyAI to:

• Upload, connect, or process any content that is unlawful, harmful, or that you do not have the right to use.
• Attempt to reverse-engineer, scrape, or extract data from the platform beyond normal use.
• Circumvent any security, access control, or rate-limiting measures.
• Use the platform to train, fine-tune, or evaluate any AI or machine learning model without our prior written consent.
• Transmit viruses, malware, or any other malicious code.
• Use the platform in a way that violates applicable law or regulation, including data protection law.

You retain full ownership of any content you connect to or upload into LiffeyAI. We do not claim any intellectual property rights over your content.

You grant us a limited licence to process your content solely for the purpose of delivering the service to you. We do not use your content to train AI models, share it with other customers, or process it for any purpose beyond operating the platform for your workspace.

You are responsible for ensuring that any content you connect or upload does not infringe third-party rights and that you have a lawful basis for processing any personal data it contains through LiffeyAI.

LiffeyAI uses large language models to generate responses, summaries, and suggestions. AI-generated content may be inaccurate, incomplete, or out of date. You are responsible for reviewing and verifying any AI output before acting on it. Nothing in LiffeyAI constitutes legal, financial, commercial, or professional advice.

How we collect, store, process, and protect your data is described in our data protection and privacy policy. That document forms part of these terms and should be read alongside them.

We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and the Irish Data Protection Act 2018.

The LiffeyAI platform, including its design, software, and methodology, is owned by Fractional Edge Limited. Nothing in these terms transfers ownership of LiffeyAI or any of its components to you.

The "Commercial Brain" structure, pillar framework, and component methodology developed within your workspace remain your intellectual property. We make no claim to them.

We aim to keep LiffeyAI available and reliable, but we do not guarantee uninterrupted access. We may carry out maintenance, introduce changes, or temporarily suspend the service with or without notice.

We may add, modify, or remove features over time. Where a change materially affects how the service works, we will notify workspace owners by email with reasonable notice.

Pricing and payment terms, where applicable, are agreed separately between LiffeyAI and the workspace owner. These terms of service govern the use of the platform regardless of payment status.

We reserve the right to suspend access to workspaces where payment obligations are not met.

LiffeyAI is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be error-free, secure, or that AI-generated outputs will be accurate or complete.

To the fullest extent permitted by applicable law, Fractional Edge Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of LiffeyAI, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these terms or the service will not exceed the fees you paid to us in the 12 months preceding the claim, or 100 euros, whichever is greater.

You agree to indemnify and hold harmless Fractional Edge Limited and its directors, employees, and contractors from any claims, damages, losses, and costs (including reasonable legal fees) arising from your use of the platform, your content, or your breach of these terms.

These terms remain in effect for as long as you have access to LiffeyAI. Either party may terminate access at any time. You may request deletion of your workspace data at any time by contacting hello@liffey.ai.

On termination, your right to access the platform ceases immediately. Sections of these terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

We may update these terms from time to time. When we do, we will update the effective date at the top of this page and, where the changes are material, notify workspace owners by email. Continued use of the platform after changes are published constitutes acceptance of the updated terms.

These terms are governed by the laws of Ireland. Any dispute arising out of or in connection with these terms or your use of LiffeyAI will be subject to the exclusive jurisdiction of the courts of Ireland.
